NON-DISTRIBUTION AGREEMENT (NDA) / GEHEIMHOUDINGS- EN LICENTIEOVEREENKOMST
Betreffende educatieve digitale inhoud, videolessen & licentiëring van RAW-bestanden
1. Partijen & Doel
Verstrekker: De maker, eigenaar en verspreider van het digitale educatieve cursusmateriaal.
Cursist/Koper: De natuurlijke persoon of rechtspersoon die de videocursus en bijbehorende digitale bestanden aankoopt, downloadt, streamt of er toegang toe krijgt.
Reikwijdte: Deze overeenkomst is van toepassing op alle verstrekte digitale materialen, met inbegrip van maar niet beperkt tot videolessen, videotutorials, schermopnames, 'behind-the-scenes' videobeelden, audio-opnames, presets, vectorafbeeldingen, documentlay-outs en in het bijzonder alle onbewerkte afbeeldingsbestanden (waaronder .ARW, .CR2, .NEF, .DNG of daaruit afgeleide formaten, hierna te noemen "RAW-bestanden").
2. Intellectuele Eigendomsrechten & Eigendom
Alle auteursrechten, intellectuele eigendomsrechten, videorechten en commerciële eigendomsrechten op de cursusvideo's, ruwe video-opnames en bijbehorende RAW-bestanden blijven volledig en uitsluitend bij de Verstrekker.
De aankoop van toegang verleent de Cursist uitsluitend een beperkte, niet-exclusieve, niet-overdraagbare en herroepbare persoonlijke licentie om de materialen te bekijken en te gebruiken strikt in overeenstemming met de voorwaarden van deze Overeenkomst.
3. Toegestaan Educatief Gebruik & Beperkingen op Portfolio en Openbare Publicatie
De videobestanden, cursusstreams en RAW-bestanden worden uitsluitend verstrekt voor persoonlijke educatieve doeleinden (bijv. het bekijken van de lessen en het meevolgen van de bewerkingsworkflows op het lokale apparaat van de Cursist).
Strikt Portfolio- en Publicatieverbod: Het is de Cursist uitdrukkelijk verboden om:
De RAW-bestanden—of daaruit afgeleide bewerkte versies, exporten of renders—te publiceren, tonen, uploaden of op te nemen in een persoonlijk of professioneel portfolio (online of in druk), op sociale media, persoonlijke websites, klantpresentaties of welk openbaar kanaal dan ook.
Videobeelden, videoclips, schermopnames of audio uit de cursus opnieuw uit te zenden, te uploaden, te knippen of openbaar te delen op videoplatforms (bijv. YouTube, Vimeo, TikTok, Instagram) of persoonlijke platforms.
4. Verboden Handelingen & Commerciële Beperkingen
De Cursist treedt niet op, direct noch indirect, om de volgende handelingen uit te voeren zonder voorafgaande schriftelijke toestemming van de Verstrekker:
Het verkopen, sublicentiëren, verhuren, delen, maken van schermopnames of verspreiden van de videomaterialen, RAW-bestanden of afgeleide exporten aan derden.
Het uploaden van videobestanden of RAW-bestanden naar cloudopslag, torrentnetwerken, platforms voor het delen van bestanden, videohostingsites of fora die toegankelijk zijn voor derden.
Het gebruiken van de cursusvideo's, RAW-bestanden of afgeleide beelden voor commerciële doeleinden, met inbegrip van de verkoop van afdrukken, klantprojecten, stockmateriaal of marketingmateriaal.
Het gebruiken van verstrekte videobeelden, afbeeldingen of materialen voor het trainen, testen of ontwikkelen van Artificiële Intelligentie (AI) of Machine Learning-modellen.
5. Technische Verificatie & Bewijs van Levering
Om volledige juridische en technische traceerbaarheid te garanderen, wordt elk verspreid master ZIP-bestand of videostreampakket gearchiveerd en geverifieerd met behulp van een unieke SHA-256 cryptografische hashwaarde.
Het voltooien van de aankoop en het downloaden of openen van het inhoudspakket—geverifieerd door de SHA-256 hashwaarde en transactielogs—vormt onomstotelijk juridisch bewijs dat de Cursist het volledige pakket inclusief deze Overeenkomst heeft ontvangen en geopend.
6. Contractuele Boeteclausule
In het geval van een overtreding van Sectie 3 of Sectie 4 van deze Overeenkomst (met inbegrip van de ongeoorloofde verspreiding van videomaterialen of RAW-bestanden), verbeurt de Cursist aan de Verstrekker automatisch een direct opeisbare contractuele boete van € 1.000 (duizend euro) per overtreding, vermeerderd met een aanvullende boete van € 250 (tweehonderdvijftig euro) voor elke kalenderdag dat de overtreding voortduurt.
Betaling van deze boete laat het recht van de Verstrekker onverlet om volledige wettelijke schadevergoeding te eisen voor daadwerkelijk geleden schade voor zover deze het boetebedrag overschrijdt.
7. Handhaving & Reikwijdte van de Verstrekker
Hoewel de Verstrekker het gehele internet niet actief kan monitoren en niet aansprakelijk kan worden gesteld voor ongeoorloofd gedrag van derden, verbindt de Verstrekker zich ertoe om onmiddellijk handhavingsmaatregelen te nemen (waaronder het versturen van formele DMCA-takedownverzoeken, het intrekken van licenties en het afdwingen van contractuele boetes) bij het ontdekken of ontvangen van een melding van een inbreuk met betrekking tot cursusvideo's of RAW-bestanden.
Afgebeelde modellen en personen die verschijnen in de videomaterialen of RAW-bestanden worden erkend als beoogde derden-begunstigden met het wettelijke recht om hun portret- en privacyrechten af te dwingen tegen elke inbreukmakende Cursist, naast de Verstrekker.
8. Aanvaarding
Door het verplichte ackoordvenster aan te vinken tijdens de checkout (bijv. via FastSpring) en de digitale videomaterialen te downloaden of te openen, bevestigt de Cursist dat hij/zij alle voorwaarden van deze Non-Distribution Agreement heeft gelezen, begrepen en onvoorwaardelijk heeft geaccepteerd.
NON-DISTRIBUTION AGREEMENT (NDA)
Regarding Educational Digital Content, Video Lessons & RAW File Licensing
1. Parties & Purpose
Provider: The creator, owner, and distributor of the digital educational course materials.
Student/Purchaser: The individual or entity purchasing, downloading, streaming, or gaining access to the video course and associated digital assets.
Scope: This Agreement applies to all digital materials provided, including but not limited to video lessons, video tutorials, screen recordings, behind-the-scenes video footage, audio recordings, preset files, vector graphics, document layouts, and specifically all unprocessed image files (including .ARW, .CR2, .NEF, .DNG, or derived formats, hereinafter referred to as "RAW Files").
2. Intellectual Property Rights & Ownership
All copyrights, intellectual property rights, video rights, and commercial ownership of the course videos, raw video recordings, and accompanying RAW Files remain fully and exclusively with the Provider.
Purchase of access grants the Student only a limited, non-exclusive, non-transferable, and revocable personal license to view and use the materials strictly according to the terms of this Agreement.
3. Permitted Educational Use & Portfolio/Public Display Restrictions
The video files, course streams, and RAW Files are provided strictly for personal educational practice only (e.g., watching the lessons and following along with the editing workflows on the Student's local device).
Strict Portfolio & Public Display Ban: The Student is expressly prohibited from:
Publishing, displaying, uploading, or including the RAW Files—or any edited versions, exports, or renders derived from them—in any personal or professional portfolio (online or in print), on social media, personal websites, client presentations, or any public outlet.
Re-broadcasting, uploading, clipping, or publicly sharing any video footage, video clips, screen recordings, or audio from the course on any video-sharing platform (e.g., YouTube, Vimeo, TikTok, Instagram) or personal platform.
4. Prohibited Actions & Commercial Restrictions
The Student agrees not to perform, directly or indirectly, any of the following actions without prior written authorization from the Provider:
Selling, sub-licensing, renting, sharing, screen-recording, screen-capturing, or distributing the video materials, RAW Files, or derived exports to any third party.
Uploading the video files or RAW Files to cloud storage, torrent networks, file-sharing platforms, video-hosting sites, or forums accessible by third parties.
Using the course videos, RAW Files, or derived imagery for commercial purposes, including selling prints, client projects, stock footage, or marketing material.
Using any provided video footage, images, or assets for the training, testing, or development of Artificial Intelligence (AI) or Machine Learning models.
5. Technical Verification & Proof of Delivery
To ensure legal and technical traceability, every master ZIP file package or video stream package distributed is archived and verified using a unique SHA-256 cryptographic hash.
Completing the purchase and downloading or accessing the content package—verified by the SHA-256 hash and transaction logs—constitutes irrefutable legal proof that the Student received and accessed the complete package containing this Agreement.
6. Contractual Penalty Clause
In the event of any violation of Section 3 or Section 4 of this Agreement (including unauthorized distribution of video materials or RAW Files), the Student shall automatically forfeit to the Provider an immediately payable contractual penalty of €1,000 (one thousand Euros) per violation, plus an additional penalty of €250 (two hundred and fifty Euros) for each calendar day the violation persists.
Payment of this penalty shall be without prejudice to the Provider’s right to seek full legal compensation for actual damages incurred to the extent they exceed the penalty amount.
7. Enforcement & Provider Scope
While the Provider cannot actively monitor the entire internet or be held liable for unauthorized third-party behavior, the Provider commits to taking immediate enforcement measures (including issuing formal DMCA takedown notices, revoking access licenses, and enforcing contractual penalties) upon discovering or receiving notice of any infringement involving course videos or RAW Files.
Depicted models and individuals appearing in the video materials or RAW Files are recognized as intended third-party beneficiaries with the legal right to enforce their likeness and privacy rights against any infringing Student alongside the Provider.
8. Acceptance
By ticking the mandatory agreement checkbox during checkout (e.g., via FastSpring) and downloading or accessing the digital video assets, the Student confirms that they have read, understood, and unconditionally accepted all terms of this Non-Distribution Agreement.
